  1. ALLWAY SYNC END USER SOFTWARE LICENSE AGREEMENT
  2.  
  3. IMPORTANT: YOU SHOULD CAREFULLY READ THIS 
  4. LEGAL AGREEMENT BEFORE INSTALLING THIS PACKAGE.
  5. BY INSTALLING ALLWAY SYNC YOU ACCEPT ALL THE TERMS 
  6. AND CONDITIONS OF THIS AGREEMENT AND AGREE 
  7. THAT YOU WILL BE LEGALLY BOUND BY THEM. 
  8. IF THESE TERMS AND CONDITIONS ARE NOT 
  9. ACCEPTABLE TO YOU, DO NOT CONTINUE 
  10. TO INSTALL THIS SOFTWARE.

  12. ALLWAY SYNC LICENSE TERMS
  13.  
  14. Allway Sync developer ("Developer") grants you ("Customer") 
  15. a license to use Allway Sync and it's documentation 
  16. ("Allway Sync"), subject to the separate, applicable 
  17. provisions below. 
  18.  
  19. For purposes of the provisions contained below, the 
  20. term "Customer" shall also apply to Non-Profit Customers 
  21. as defined below, unless expressly stated otherwise.
  22.  
  23. I. LICENSE FOR FREE VERSION OF ALLWAY SYNC (ALLWAY SYNC FREE)
  24.  
  25. Non-Profit Customers (but not other Customers) are allowed 
  26. to use Allway Sync for free, subject to limitations 
  27. as described below. All other Customers are allowed to use 
  28. Allway Sync Free for thirty days period for evaluation purpose
  29. only. Also all Customers are allowed to use Allway Sync Free
  30. temporary on a computer owned by a third-party for a period 
  31. up to seven days since first install without any other litimations.
  32.  
  33. Non-Profit Customer is defined as a customer who uses Allway Sync
  34. in non-commercial environment for non-profit activity.  
  35. All Customers who use Allway Sync in a business, government, 
  36. military, religious institution or when doing profit activity 
  37. at home are not Non-Profit Customers for the purposes of this 
  38. agreement. Customers that are students of accredited universities 
  39. and high schools are classified as Non-profit Customers even if 
  40. a school or university is owned and operated by a government.
  41.  
  42. Customer agrees that Allway Sync Free has certain limitations, 
  43. that these limitations may change over time without notice 
  44. or obligation on the part of Developer. These limitations are 
  45. described at http://www.syncapp.com/freelimit.html and are 
  46. incorporated into this Agreement by reference. It is the 
  47. Non-Profit Customer's responsibility to review these 
  48. limitations and abide by them. The Nonprofit Customer agrees to 
  49. be legally bound by these limitations when using Allway Sync Free.

  52. II. LICENSE FOR ALLWAY SYNC PRO VERSION
  53.  
  54. Customer who purchased a license for Allway Sync Pro is granted a
  55. nonexclusive license to use Allway Sync Pro on a single computer only.
  56.  
  57. If a Customer has several computers, Customer shall purchase
  58. additional Allway Sync Pro licenses for each computer that 
  59. Customer installs Allway Sync Pro on. However, Customer is allowed 
  60. to synchronize data with a remote computer (using a network drive)
  61. without obtaining a license for that computer.
  62.  
  63. Customer shall not use Allway Sync Pro for commercial timesharing.
  64. Customer shall not rent Allway Sync Pro license to other parties.
  65.  
  66. LICENSE ACTIVATION: Customer hereby agrees to activation process 
  67. for Allway Sync Pro in which manual entry of activation code is
  68. required. Customer also agrees that Allway Sync Pro activation process
  69. may be used to enforce provision of this Agreement that allows 
  70. use of one Allway Sync Pro license only on one computer.
  71.  
  72. ALLWAY SYNC PRO USERS MANAGEMENT SYSTEM: Personal data 
  73. of customers that purchase Allway Sync Pro is stored in 
  74. Pro Users Management System (PUMS).
  75. Only the data that customers or their agents enter into 
  76. the Allway Sync Pro purchase web page is stored in the database.
  77.  
  78. Customer hereby allows Developer to store this data on Developer's
  79. server. This data shall be used for purchase tracking, reactivation
  80. of Allway Sync Pro licenses, refund and chargeback tracking
  81. and other customer service purposes.
  82.  
  83. Customer allows Developer to send infrequent product 
  84. update newsletters and promotional offers
  85. to e-mail and postal addresses stored in PUMS.
  86.  
  87. REFUNDS: Developer will refund the full amount paid 
  88. for Allway Sync Pro license if: 
  89. - The refund request is received by Developer within 30 days 
  90.   of the date of purchase of Allway Sync Pro by Customer, and
  91. - Customer provides Proof of Purchase, 
  92.   which is the original e-mail receipt for Allway Sync Pro, and
  93. - Developer is able to locate Customer in the Pro Users 
  94.   Database (PUMS) using the data provided by Customer.

  97. III. GENERAL PROVISIONS FOR ALLWAY SYNC FREE AND PRO
  98.  
  99. Customer shall not remove any product identification, copyright
  100. notices, or other notices or proprietary restrictions from 
  101. Allway Sync.
  102.  
  103. Customer shall not cause or permit reverse engineering,
  104. disassembly, or decompilation of Allway Sync.
  105.  
  106. COPYRIGHT/OWNERSHIP OF PROGRAM: Allway Sync is the proprietary 
  107. product of Developer and its licensors and it is protected 
  108. by copyright, trade secret and other intellectual property laws.
  109.  
  110. Customer acquires only the right to use Allway Sync and does not 
  111. acquire any rights, express or implied, in Allway Sync or media 
  112. containing Allway Sync other than those specified in this License.
  113.  
  114. Developer, or its licensor, shall at all times retain all rights, 
  115. title, interest, including intellectual property rights, 
  116. in Allway Sync and media.
  117.  
  118. TRANSMISSION OF DATA IN AUTOUPDATE:
  119. At user discretion Allway Sync may automatically check 
  120. Developer's server http://syncapp.com for its new version and 
  121. security patches approximately once a week. If it finds a version 
  122. that is newer than the version that you have, Allway Sync will offer 
  123. you to upgrade. The checking of new version is limited to the following
  124. technical data to be transmitted to Allway Sync developer server:
  125. current Allway Sync version on the user's machine and 
  126. a randomly generated 128-bit session ID.
  127. Customer hereby allows such transmissions to occur.
  128.  
  129. NO WARRANTIES OF ANY KIND: ALLWAY SYNC IS PROVIDED "AS IS" 
  130. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  131. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES 
  132. OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  
  133. ALLWAY SYNC DEVELOPER DOES NOT WARRANT THAT THE 
  134. FUNCTIONS CONTAINED IN ALLWAY SYNC WILL MEET YOUR 
  135. REQUIREMENTS OR OPERATE IN AN ENVIRONMENT CREATED 
  136. BY YOU OR THAT THE OPERATION OF ALLWAY SYNC 
  137. WILL BE UNINTERRUPTED  OR ERROR FREE OR 
  138. THAT ALLWAY SYNC ERRORS WILL BE CORRECTED. 
  139. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE 
  140. OF ALLWAY SYNC IS WITH YOU. 
  141.  
  142. LIMITATION OF LIABILITY: NEITHER ALLWAY SYNC DEVELOPER NOR 
  143. ANY OF ITS LICENSORS SHALL BE LIABLE FOR ANY DAMAGES 
  144. CAUSED BY ALLWAY SYNC INCLUDING BUT NOT LIMITED TO INDIRECT, 
  145. INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES 
  146. FOR LOSS OF PROFITS, LOSS OF SAVINGS, REVENUE, DATA, 
  147. INCURRED BY CUSTOMER OR ANY THIRD PARTY, EVEN IF 
  148. ALLWAY SYNC  DEVELOPER HAS BEEN ADVISED 
  149. OF THE POSSIBILITY OF SUCH DAMAGES.
  150.  
  151. TERMINATION: This License is effective until terminated. 
  152. You may terminate this Agreement at any time by uninstalling
  153. Allway Sync and deleting all its files. This License will 
  154. terminate immediately without notice from  Allway Sync developer
  155. if you fail to comply with any provision of this License. 
  156. Upon termination or expiration of this License you must 
  157. uninstall Allway Sync and delete all its files.
  158.  
  159. EXPORT LAW ASSURANCE: Customer shall comply fully with all laws and
  160. regulations of the United States and other countries (Export Laws) 
  161. to assure that neither Allway Sync, nor any direct products thereof 
  162. are Exported, directly or indirectly, in violation of Export Laws, 
  163. or are used for any purpose prohibited by Export Laws, including, 
  164. without limitation, nuclear, chemical, or biological weapons 
  165. proliferation. If Allway Sync have been rightfully obtained by you 
  166. outside of the United States, you agree that you will not re-export 
  167. Allway Sync nor any other technical data received, nor 
  168. the direct product thereof, except as permitted by the laws and 
  169. regulations of the United States and the laws and regulations 
  170. of the jurisdiction in which you obtained Allway Sync.
  171.  
  172. JURISDICTION AND DISPUTES: This Agreement shall be governed 
  173. by the laws of Virginia. All disputes hereunder shall be 
  174. resolved in the applicable state or federal courts of Virginia.  
  175. The parties consent to the jurisdiction of such courts, 
  176. agree to accept service of process by mail, and waive
  177. any jurisdictional or venue defenses otherwise available. 
  178. In any litigation arising out of this Agreement or related 
  179. to use or function of Allway Sync, Allway Sync developer 
  180. shall be entitled to all legal costs and attorney's fees 
  181. incurred in mediation, arbitration, suit and on appeal.
  182.  
  183. SEVERABILITY: If for any reason a court of competent jurisdiction
  184. finds any provision of this License or portion thereof, to be
  185. unenforceable, that provision of the License shall be enforced to the
  186. maximum extent permissible so as to affect the intent of the parties,
  187. and the remainder of this License shall continue in full force and
  188. effect.
  189.  
  190. COMPLETE AGREEMENT: This License constitutes the entire agreement
  191. between the parties with respect to the use of Allway Sync and the
  192. related documentation, and supersedes all prior or contemporaneous
  193. understandings or agreements, written or oral, regarding such subject
  194. matter. No amendment to or modification of this License will be
  195. binding unless in writing and signed by a duly authorized
  196. representative of Allway Sync developer.
  197.  
  198. ALLWAY SYNC WEB SITE: Allway Sync web site does not use cookies 
  199. to track users. However, Allway Sync affiliates and advertisers 
  200. may use cookies that allow Developer to track who referred 
  201. a customer to our web sites.
  202.  
  203. CUSTOMER HEREBY ACKNOWLEDGES THAT CUSTOMER HAS READ 
  204. THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO BE BOUND 
  205. BY ITS TERMS AND CONDITIONS.
